Purpose:
A group of five (5) HOA members elected by the general membership to make policy and business decisions which are in the best interest of the association as a whole.

Preferred Requirements:
Preferred requirements for a candidate seeking a Board of Director position are:
(1) Member in good standing (dues current or participating in an HOA approved payment plan).
(2) Physically resides within the Wellington community during term of office.
(3) Minimum six (6) months experience on a Wellington committee. Elected board members are encouraged to act as a liaison to one (1) committee (Amenities, Landscape, Architectural Control, Finance).

Term of Office:
Each board member is elected to a term of two (2) years. Elections are held on a yearly basis at the annual meeting for two (2) or three (3) open board positions - depending on that year's staggered rotation. Terms are staggered to allow for a minimum of two (2) returning experienced members each year.

Meetings:
The Board of Directors meet a minimum of six (6) scheduled times a year. Additional meetings are scheduled if needed.

A typical meeting involves review and acceptance of the previous meeting minutes, review of the management report, discussion of specific action items (i.e. contracts, policy revisions, budgeting), and addressing specific resident requests.

Positions and Duties:
Each year, the returning board members and the newly elected board members vote on which position each board member will fill. Article IX of the Bylaws defines the following board positions and duties:

President - (i) presides at all meetings of the Board (ii) ensures that orders and resolutions of the Board are carried out (iii) signs all leases, mortgages, deeds and other written instruments; provided, however, that any duly authorized officer may sign checks and promissory notes (iv) perform other duties as may be required by the Board

Vice President - (i) act in the place and stead of the President in the event of the President's absence, inability or refusal to act (ii) perform other duties as may be required by the Board

Secretary - (i) record the votes and keep the minutes of all meetings and proceedings of the Board and of the Members (ii) keep the corporate seal of the Association and affix it on all papers requiring said seal (iii) serve notice of meetings of the Board and of the Members (iv) keep appropriate current records showing the Members of the Association together with their addresses (v) perform other duties as may be required by the Board

Treasurer - (i) receive and deposit in appropriate bank accounts all monies of the Association (ii) disburse such funds as directed by resolution of the Board (iii) maintain the financial records of the Association (iv) perform other duties of a similar nature as may be required by the Board

Note - The offices of President and Secretary may not be held by the same person.
